REFUND & CANCELLATION POLICY

Sovaryn Enterprise, Inc.

Effective Date: May 1, 2026

Website: https://sovarynenterpriseinc.com/

1. Introduction

Sovaryn Enterprise, Inc. ("Sovaryn," "Company," "we," "us," or "our") provides management, administrative, operational oversight, and business consulting services to subsidiaries and other authorized business clients.

This Refund & Cancellation Policy explains how cancellations, refunds, service termination, and billing disputes are handled.

This policy applies to professional services provided directly by Sovaryn. Separately incorporated subsidiaries may maintain their own refund and cancellation policies.

2. Service Agreements

All professional services are subject to the applicable written service agreement, proposal, or invoice.

These documents establish the scope of services, fees, payment schedules, deliverables, and applicable cancellation or termination conditions.

Where a signed service agreement contains different provisions, that agreement will control to the extent permitted by applicable law.

3. Cancellation Requests

Clients requesting cancellation of services must submit their request to:

info@sovarynenterprise.com

Cancellation requests should include the client's business name, relevant agreement or invoice number, and requested cancellation date.

Cancellation becomes effective according to the terms of the applicable service agreement.

Submitting a cancellation request does not automatically terminate an existing contractual payment obligation.

4. Contract Termination

Sovaryn reserves the right to suspend or terminate services when a client engages in fraud, material misrepresentation, illegal activities, or a material breach of the applicable service agreement.

Upon termination, clients remain responsible for outstanding fees for services already performed and any additional termination charges expressly authorized by the signed agreement and permitted by applicable law.

Prepaid fees for services not delivered will be handled in accordance with the applicable agreement and applicable law.

Sovaryn reserves the right to decline renewal of an agreement following the expiration of its original or renewed term, subject to any applicable contractual obligations.

5. Refund Eligibility

Refund requests are evaluated according to the applicable service agreement, the services performed, and applicable law.

Fees for services already completed are generally nonrefundable unless the agreement or applicable law provides otherwise.

Fees for services not performed, duplicate payments, billing errors, or other qualifying circumstances will be reviewed individually.

A refund request does not automatically guarantee approval.

Nothing in this policy eliminates refund rights or remedies required by applicable law.

6. Billing Concerns and the 72-Hour Notification Period

Clients who believe a charge is incorrect, unauthorized, or associated with services not delivered as agreed are encouraged to notify Sovaryn within 72 hours after the charge is processed.

Notifications should be sent to:

info@sovarynenterprise.com

Clients should provide the relevant invoice or transaction information and supporting documentation when available.

Sovaryn will review billing concerns in good faith and communicate an appropriate resolution.

Failure to notify Sovaryn within 72 hours does not waive any contractual or legal rights that cannot lawfully be waived.

7. Payment Disputes and Chargebacks

Clients are encouraged to contact Sovaryn directly to resolve billing concerns before initiating a payment dispute.

However, nothing in this policy restricts a client's right to dispute eligible charges through their financial institution, card issuer, or payment processor.

Sovaryn may provide relevant contracts, invoices, communications, payment authorizations, and service delivery records when responding to a dispute.

Disputes are subject to applicable law, payment network rules, and payment processor requirements.

8. Recurring Services and Payments

Management and administrative services may be billed on a recurring basis when authorized under a written agreement.

Billing frequency, amounts or calculation methods, renewal terms, and cancellation procedures will be disclosed before recurring payments begin.

Cancellation of recurring payment authorization and termination of a service agreement may be governed by different requirements.

Sovaryn will not continue charging a payment method after authorization has been validly withdrawn, except as permitted by applicable law and payment network rules.

Outstanding contractual obligations may be invoiced through other lawful methods.

9. Processing Approved Refunds

Approved refunds for payments processed through Stripe will generally be initiated through Stripe to the original payment method when supported.

The time required for funds to appear in the customer's account depends on the payment provider and financial institution.

Sovaryn will communicate the outcome of a refund request and any applicable processing details.

10. Corporate Distributions and Intercompany Transfers

Dividends, ownership distributions, capital contributions, and other noncommercial corporate transfers are not customer payments for professional services.

Such transactions are governed by applicable corporate agreements, accounting procedures, and law rather than this customer Refund & Cancellation Policy.

11. Policy Changes

Sovaryn may update this policy to reflect changes in business operations, service offerings, or applicable legal requirements.

Updated policies will be published on our website with the applicable effective date.

Changes to existing signed agreements will be handled according to those agreements and applicable law.
